The SistaShop entity applicable to your use of the Platform is referred to in these Terms as “SistaShop”, “we”, “us” or “our”.

These Terms govern your contractual relationship with SistaShop for use of the Platform.

Account registration, subscriptions, publishing, bookings, commercial participation, transactions, commissions and payouts are available only in countries and jurisdictions activated by SistaShop for the relevant function.

During Phase 1, account and transactional services are offered only in activated jurisdictions in Australia and the United States.

Public information may be accessible from another location. Access to public information does not mean that SistaShop offers accounts, subscriptions, products, services, bookings, transactions, commissions or payouts in that location.

The applicable SistaShop entity will be identified in connection with account registration or the relevant Platform activity. No SistaShop entity accepts an account registration, subscription, publishing activity, booking, commercial participation, transaction, commission or payout outside an activated jurisdiction unless SistaShop expressly states otherwise.

SistaShop provides commercial infrastructure dedicated to women’s reproductive health. Platform functionality is made available progressively and may include discovery, verification, profiles, content and subscriptions and, where activated, functionality through which eligible users can buy, sell, book, recommend or otherwise engage with products and services.

Not every feature described in these Terms is available to every user or in every jurisdiction. The provisions of these Terms relating to a particular feature or transaction apply when that functionality is made available and used.

Products and services available through SistaShop may be offered by independent sellers, Professionals and Service Providers.

When you purchase a product offered by an independent seller through SistaShop, the contract for the sale of that product is between you and the seller identified in connection with the transaction.

When you purchase or book a service offered by an independent Professional or Service Provider through SistaShop, the contract for that service is between you and the Professional or Service Provider identified in connection with the transaction.

Unless SistaShop expressly identifies itself as the supplier of a particular product or service, SistaShop is not the seller, manufacturer, fulfiller, Professional or Service Provider of that product or service and is not a party to the underlying contract between you and that seller, Professional or Service Provider.

SistaShop may provide or facilitate Platform functions associated with those transactions without becoming the seller or Provider of the underlying product or service.

Nothing in this section excludes any responsibility SistaShop has for its own conduct or any obligation that applicable law does not permit SistaShop to exclude.

3.1 Account eligibility

You may create or maintain a SistaShop account only if:

(a) you are at least 16 years old;
(b) account registration is available in your country and, where applicable, state or territory;
(c) you have the legal capacity required for the functions you use; and
(d) you satisfy any additional identity, verification, professional, commercial, payment or eligibility requirements applicable to your account or activity.

Public informational content may be accessible without an account. Access to public content does not make account, publishing, booking, commercial or transaction functions available to you.

3.2 Users aged 16 or 17

If you are aged 16 or 17, you may use only the consumer functions that SistaShop specifically makes available to your age group and jurisdiction.

Purchases or bookings are available to you only where permitted by applicable law and the requirements of the relevant seller, Professional or Service Provider.

Where applicable law requires permission or consent from a parent or legal guardian, you may use the relevant function only after SistaShop has received and recorded that permission or consent through an approved process.

A SistaShop account does not establish that you have legal capacity to enter a particular transaction or consent to a healthcare service.

3.3 Adult-only functions

You must be at least 18 years old, have legal capacity to enter the applicable agreement and satisfy all other eligibility requirements to:

(a) act as an Expert, MD/DO/GP, Healthcare Practitioner, Registered Nurse, seller, Service Provider or other commercial participant;
(b) hold or use a Professional Crown or Commercial Diamond profile;
(c) act as the representative or administrator of an organisation;
(d) purchase a professional or commercial subscription;
(e) publish promotional, sponsored, affiliate or monetised content;
(f) make a commission-bearing recommendation;
(g) participate in a commission, referral, sponsorship or other earning programme;
(h) receive a payout;
(i) enter a commercial agreement on behalf of yourself or another person or organisation; or
(j) use any other function identified by SistaShop as adult-only.

An organisation’s representative must be at least 18 years old and have authority to bind that organisation.

During Phase 1, SistaShop does not offer a parent-or-guardian pathway for adult-only functions.

3.4 Age-restricted products and services

A product, service, booking, transaction or item of content may have a higher or additional age requirement.

SistaShop, the applicable seller, Professional, Service Provider or payment provider may require further age, identity, prescription, consent or eligibility verification before permitting access or completing the relevant activity.

Meeting the minimum age for a SistaShop account does not establish eligibility for a particular product, service, healthcare appointment or transaction.

3.5 Healthcare consent

Eligibility to hold a SistaShop account is separate from legal and clinical capacity to consent to healthcare.

The applicable Professional or Service Provider remains responsible for determining identity, consent, clinical eligibility, parental or guardian involvement and any other requirements governing the service they provide.

3.6 Age and eligibility information

You must provide truthful, accurate and current age and eligibility information and must not attempt to circumvent an age or eligibility control.

SistaShop may request age or identity assurance, including through an authorised provider or an approved device, application-store or operating-system capability, where appropriate and lawful.

If SistaShop reasonably determines that you do not satisfy an applicable age or eligibility requirement, it may restrict, suspend or close the affected account or function and handle associated personal information, transactions and records in accordance with applicable law and the SistaShop Privacy Policy.

3.7 Country and jurisdiction restrictions

Account registration, publishing, booking, commercial participation, transactions, commissions and payouts are available only in countries and jurisdictions activated by SistaShop for the relevant function.

You must not use false location, identity, age or payment information to circumvent a geographic or eligibility restriction.

Access from a country does not mean that SistaShop offers accounts, products, services or transactions in that country.

You must provide accurate, complete and current information when creating and maintaining your account.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity occurring through your account where permitted by applicable law.

You must promptly notify SistaShop if you know or reasonably suspect that your account has been accessed or used without authorisation.

You must not:

• impersonate another person or organisation;
• materially misrepresent your identity, business, qualifications or authority;
• use another person’s credentials without authority;
• create or use an account to evade a suspension, restriction or other enforcement action;
• sell, transfer or otherwise provide your account to another person without SistaShop’s permission;
• provide false or misleading information about your age, date of birth, legal capacity or parental or guardian permission;
• circumvent or attempt to circumvent an age-assurance or age-based restriction; or
• act for an organisation unless you are at least 18 years old and authorised to bind that organisation.

We may require identity, business, professional or other verification where appropriate to the role or activity you wish to undertake on the Platform.

Certain SistaShop roles, trust markers, subscriptions and Platform functions require verification.

Verification may be carried out by SistaShop or an authorised third-party verification provider.

A verification status indicates only that the applicable verification requirements were satisfied at the relevant time. It is not an endorsement, recommendation, warranty or guarantee by SistaShop of a person, organisation, product, service, professional competence or future conduct.

You must provide truthful and current information for verification purposes.

For Professional Crown participants, payment for a subscription does not itself mean that professional credentials have been verified. A Professional may have a Pending verification status while professional credential verification is being completed.

A Pending verification status does not represent confirmation by SistaShop that the Professional’s qualifications, licence, registration, board certification or other professional credentials have been verified.

If a Professional’s credential verification is rejected, the applicable Crown and associated professional entitlements will be removed and the subscription will be cancelled. Except where applicable law requires otherwise, payment is not refundable solely because professional credential verification is subsequently rejected. A later application following rejection is treated as a new application and requires the applicable new payment.

For Commercial Diamond participants, payment for a subscription does not itself mean that the applicable commercial verification has been completed. A Commercial Diamond is displayed only when the applicable verification requirements for that status have been satisfied.

We may restrict or remove verification-dependent functions, entitlements or trust markers if the applicable verification is incomplete, expires, changes, is rejected, is withdrawn or can no longer be confirmed.

Independent sellers are responsible for the products they offer through SistaShop and for complying with the laws applicable to their products and transactions.

Depending on the transaction, this may include responsibility for product information, pricing, claims, legality, safety, availability, fulfilment, delivery, returns, warranties, recalls and applicable consumer obligations.

SistaShop may establish and enforce Platform requirements governing what may be offered through SistaShop.

The existence or enforcement of those requirements does not transfer a seller’s legal responsibilities for its products to SistaShop.

Professionals and Service Providers are responsible for the services they independently offer and provide through SistaShop and for complying with laws and professional requirements applicable to them.

This may include responsibility for professional registration, licensing, scope of practice, professional conduct, service information, availability, service delivery, confidentiality and other obligations applicable to the service.

Unless expressly stated otherwise for a particular service, SistaShop provides Platform infrastructure and does not itself provide the underlying professional or healthcare service.

SistaShop operates in women’s reproductive health and may make health-related information, products, professional content and services discoverable through the Platform.

General information available through SistaShop is not a substitute for personalised medical advice, diagnosis or treatment from an appropriately qualified healthcare professional.

Viewing content or a professional profile on SistaShop does not by itself establish a clinician-patient relationship with SistaShop.

SistaShop is not an emergency medical service.

If you believe you are experiencing a medical emergency, seek appropriate emergency medical assistance.

Products, services, transactions and Platform functions may not be available to every user or in every jurisdiction.

Availability may depend on applicable law, location, age, verification, account status, seller or Provider requirements and other eligibility requirements applicable to the relevant activity.

You must not attempt to circumvent restrictions applied to your use of the Platform.

Where purchasing functionality is available, the applicable seller or Provider and material transaction information will be identified in connection with the purchase.

SistaShop uses authorised payment service providers, including Stripe, to facilitate applicable payments.

Use of payment services may be subject to additional requirements imposed by the relevant payment provider.

Payment processing through SistaShop does not, by itself, make SistaShop the seller or Provider of the underlying product or service.

Applicable prices, currency and additional charges required to be disclosed will be presented in connection with the transaction.

Taxes may be calculated, collected, withheld, reported or remitted by SistaShop, the seller, Provider or payment provider where required by applicable law.

Products and services offered through SistaShop may be subject to seller or Provider terms and applicable SistaShop policies disclosed in connection with the transaction.

The seller remains responsible for obligations relating to products it supplies.

The Professional or Service Provider remains responsible for obligations relating to services it supplies.

SistaShop may facilitate or administer transaction support, cancellations, refunds, returns, payment disputes or chargebacks where applicable. Doing so does not make SistaShop a party to the underlying contract between the buyer and the independent seller or Provider.

Nothing in these Terms excludes, restricts or modifies a refund, repair, replacement, cancellation, consumer guarantee or other remedy that applicable law does not permit to be excluded, restricted or modified.

Certain Professional Crown and Commercial Diamond participation pathways require a paid SistaShop subscription.

Before you confirm a paid subscription, SistaShop will display the material terms of the subscription, including the price and currency, billing interval, whether the subscription renews automatically, the applicable renewal timing and how the subscription may be cancelled.

Payment for a Crown or Diamond subscription does not itself constitute successful verification. Continued access to verification-dependent or subscription-dependent functionality is subject to the applicable verification, eligibility, subscription and Account requirements.

Where a subscription renews automatically, it will renew according to the billing interval and terms disclosed before purchase unless you cancel it before the next renewal takes effect. SistaShop will provide any renewal notice required by applicable law.

You may cancel future renewal using the cancellation method made available by SistaShop. Unless otherwise stated at the time of purchase or required by applicable law, cancellation prevents future renewal and does not retrospectively terminate or refund a subscription period that has already been paid for.

If a subscription payment fails or the subscription expires, SistaShop may restrict the applicable subscription-dependent functionality or entitlements.

Where reactivation is available, successful payment may reactivate the applicable subscription and subscription-dependent functionality or entitlements, subject to current verification, eligibility and Account requirements.

Any promotional or introductory pricing and the price applicable after that period will be disclosed where applicable before purchase.

SistaShop will not materially reduce an existing paid subscription during its current paid term without providing any notice, obtaining any consent or offering any remedy required by applicable law.

Nothing in this section excludes, restricts or modifies any statutory consumer right or remedy that cannot lawfully be excluded, restricted or modified.

Commission, referral and other earning opportunities are available only to participants who are at least 18 years old and satisfy all applicable verification, contractual, tax, payment, jurisdiction and Platform eligibility requirements.

SistaShop may make commission, referral or other earning opportunities available to eligible participants.

Any such opportunity is subject to the rules and conditions applicable to that programme or transaction.

No displayed, estimated or pending amount constitutes guaranteed income.

An amount may be adjusted or reversed where the underlying transaction is cancelled, refunded, reversed, fraudulent or otherwise invalid.

You must not manipulate transactions, referrals, commissions, rewards or other earning opportunities.

Additional programme terms may apply where required.

You retain ownership of intellectual property rights you hold in content you submit to SistaShop.

When you upload, publish or otherwise provide content through the Platform, you grant SistaShop a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, display, distribute and technically adapt that content to the extent reasonably necessary to operate, provide, protect and support the Platform and the functionality you choose to use.

This licence does not transfer ownership of your content to SistaShop.

During Phase 1, a user under 18 must not publish promotional, sponsored, affiliate or monetised content, make a commission-bearing recommendation or tag content for the purpose of earning a commission or other commercial reward.

SistaShop may restrict additional public-content functions for users under 18 where required for privacy, safety, legal compliance or Platform integrity.

You represent that you have the rights and permissions necessary to provide the content and grant this licence.

You must not submit or publish content that:

• is unlawful;
• materially infringes another person’s rights;
• is materially false, misleading or deceptive;
• misrepresents identity, qualifications or professional status;
• contains unlawful product, health or therapeutic claims;
• unlawfully discloses another person’s personal or confidential information; or
• otherwise violates these Terms or applicable law.

You must be at least 18 years old and otherwise eligible to undertake promotional, sponsored, affiliate or other commercial content activity on SistaShop.

If you receive a payment, commission, product, service or other material benefit connected with content, a recommendation or other commercial activity on SistaShop, you are responsible for making disclosures required by applicable law and applicable Platform rules.

You must not remove or obscure a disclosure required by SistaShop or applicable law.

Claims about products, services or health-related matters must comply with applicable law.

The Platform and the intellectual property associated with it, including SistaShop™, Sistapedia®, SistaFam®, software, designs, interfaces, databases, content owned by SistaShop and other proprietary materials, are owned by or licensed to the applicable rights holder.

Subject to these Terms, SistaShop grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Platform for its intended purposes.

Except where permitted by law or expressly authorised by SistaShop, you must not copy, reproduce, modify, distribute, sell, license, reverse engineer, extract or commercially exploit protected SistaShop materials.

No ownership rights in SistaShop intellectual property are transferred to you under these Terms.

You must not:

• use SistaShop for unlawful or fraudulent purposes;
• misrepresent your identity, authority or qualifications;
• offer unlawful products or services;
• publish unlawful, misleading or deceptive claims;
• infringe intellectual property or other legal rights;
• misuse personal or confidential information;
• manipulate transactions, referrals, commissions, reviews or Platform activity;
• circumvent access, eligibility, verification or security restrictions;
• interfere with the operation or security of the Platform;
• introduce malicious code;
• attempt to gain unauthorised access to accounts, systems or data;
• scrape, systematically extract or commercially exploit protected Platform data except as permitted by law or expressly authorised by SistaShop; or
• assist another person to engage in prohibited conduct.

SistaShop may restrict, suspend or terminate access to all or part of the Platform where reasonably necessary to enforce these Terms, comply with law, address age or other eligibility requirements, respond to false age or eligibility information, prevent circumvention, prevent fraud or misuse, address security or safety risks, respond to verification or payment issues, protect users or protect the integrity of the Platform.

Immediate action may be taken where reasonably necessary to address a material legal, fraud, security or safety risk.

Where required by applicable law, SistaShop will provide any notice or opportunity to respond that must be provided.

You may stop using SistaShop at any time.

Closing an account does not affect outstanding transactions, payments, refunds, disputes, accrued obligations or records that SistaShop is legally required or permitted to retain.

Nothing in these Terms gives you a right to SistaShop’s source code, algorithms, confidential business information, security systems, internal compliance processes, verification methods, risk methodologies or other proprietary technology or processes.

SistaShop is not required to disclose confidential or proprietary internal systems except where disclosure is required by applicable law.

SistaShop may use, integrate with or link to services provided by third parties.

Your use of a third-party service may be governed by that provider’s own terms and privacy practices.

SistaShop is not responsible for an independent third-party service merely because that service is linked to or integrated with SistaShop, except to the extent applicable law provides otherwise.

SistaShop may modify, improve, replace, restrict or discontinue Platform functionality.

We may make changes without advance notice where reasonably necessary for security, fraud prevention, safety, legal compliance or Platform integrity.

If a change materially adversely affects an existing paid SistaShop service during a current paid term, SistaShop will provide any notice, cancellation right, refund or other remedy required by applicable law.

Participation in SistaShop does not guarantee sales, revenue, commissions, bookings, traffic, views, referrals, conversion or any other commercial outcome.

Nothing in this section limits rights or remedies that applicable law does not permit to be excluded.

SistaShop is responsible for its own obligations in providing the Platform under these Terms and applicable law.

SistaShop is not responsible for performing the independent contractual obligations of a seller, Professional or Service Provider merely because a product or service was discovered, booked, purchased or paid for through SistaShop.

To the maximum extent permitted by applicable law, SistaShop is not responsible for loss caused solely by the independent acts or omissions of sellers, Professionals, Service Providers or other users.

Nothing in these Terms excludes or limits SistaShop’s liability where applicable law does not permit that liability to be excluded or limited.

Nothing in these Terms excludes, restricts or modifies any statutory right, consumer guarantee or remedy that cannot lawfully be excluded, restricted or modified.

If you are an Australian consumer, this includes rights and consumer guarantees available under the Australian Consumer Law.

Those rights apply regardless of anything in these Terms that might otherwise appear to limit them.

To the maximum extent permitted by applicable law, the Platform is provided without warranties or guarantees other than those expressly stated in these Terms or imposed by law and incapable of exclusion.

To the maximum extent permitted by applicable law, SistaShop is not liable for indirect, incidental, special or consequential loss arising from use of the Platform where that liability may lawfully be excluded.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct or any other liability that applicable law does not permit to be excluded or limited.

Nothing in this section affects mandatory consumer rights.

If you use SistaShop as a seller, Professional, Service Provider or other commercial participant, you remain responsible for your products, services, content, claims, professional obligations and compliance with applicable law.

To the extent permitted by law, you are responsible for claims and losses arising directly from your unlawful products or services, professional misconduct, infringement of third-party rights, fraud, unlawful claims or material breach of these Terms.

This section does not make you responsible for loss caused by SistaShop’s own unlawful conduct or for liability that applicable law does not permit to be transferred or excluded.

Additional terms may apply to particular commercial programmes or services.

SistaShop handles personal information in accordance with the applicable SistaShop Privacy Policy and applicable privacy law.

The Privacy Policy explains how personal information is collected, used and disclosed.

Agreement to these Terms does not constitute consent to processing for which applicable law requires separate consent.

Children and young people

SistaShop may process age-band, age-assurance and eligibility information where reasonably necessary to apply account, content, booking, transaction, privacy or safety requirements.

Users under 18 may receive additional privacy protections or restrictions under applicable law and the SistaShop Privacy Policy.

Agreement to these Terms does not constitute parental or guardian consent, healthcare consent or any other consent for which applicable law requires a separate process.

If SistaShop determines that a person is not eligible to hold an account or use a function because of age, SistaShop may restrict or close the affected account or function and retain or delete associated information as required or permitted by applicable law.

SistaShop may update these Terms where reasonably necessary to reflect changes to the Platform, applicable law, security requirements, payment services or SistaShop’s operations.

Where required by applicable law, we will provide notice of material changes.

Changes will apply prospectively from their stated effective date unless applicable law requires otherwise.

Changes do not retrospectively remove rights that have already accrued.

We may require you to accept updated Terms before continuing to use Platform functions materially affected by those changes.

If your contractual relationship with SistaShop is with Sistapedia Pty Ltd, these Terms are governed by the laws of Queensland and applicable Commonwealth laws of Australia.

Subject to any mandatory right you have to bring proceedings elsewhere, you and Sistapedia Pty Ltd submit to the non-exclusive jurisdiction of the courts of Queensland and courts entitled to hear appeals from them.

Nothing in this section limits rights that applicable law does not permit to be limited.

If your contractual relationship with SistaShop is with Sistapedia LLC, these Terms are governed by the laws of the State of Delaware and applicable federal laws of the United States, without regard to conflict-of-laws principles, except where mandatory law requires otherwise.

Nothing in these Terms removes consumer or other statutory rights that cannot legally be waived.

If you have a dispute with SistaShop, you and SistaShop agree to make a reasonable attempt to resolve it informally before commencing non-urgent legal proceedings.

This does not prevent either party from seeking urgent relief and does not restrict eligible small-claims proceedings, regulatory complaints or other rights that applicable law does not permit to be restricted.

This section applies to disputes involving SistaShop. It does not make SistaShop a party to a dispute solely between a buyer and an independent seller, Professional or Service Provider.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified or severed only to the extent necessary and the remaining provisions will continue in effect.

A failure or delay by SistaShop to enforce a provision does not waive the right to enforce it later.

You may not transfer your account or your rights or obligations under these Terms without SistaShop’s consent where the transfer would affect identity, verification, security or contractual obligations.

These Terms, together with any terms or policies expressly incorporated into them, constitute the agreement between you and SistaShop concerning your use of the Platform.

Where additional seller, Provider, subscription, commission, booking, transaction or programme terms apply, they will be presented or made available in connection with the relevant activity. Those additional terms do not make an otherwise ineligible person eligible to use an age-restricted, jurisdiction-restricted, professional or commercial function.

Separate terms may govern particular transactions, subscriptions, commercial programmes or services.
